This Coach Agreement ("Agreement") applies in addition to the Terms of Service when you create a Coach account or list any service or class on Kynetiq. By accepting it you confirm that you meet the requirements below and agree to the obligations that follow. In the event of conflict between this Agreement and the Terms of Service on a matter specific to delivering services as a Coach, this Agreement prevails.
1. Independent contractor status
You are an independent professional, not an employee, worker, agent, partner, or joint venturer of Kynetiq. You retain full control over how, when, and where you deliver your services, what you charge, and which Clients you accept. Nothing in this Agreement creates an employment relationship, agency, partnership, or joint venture. You are responsible for your own tools, equipment, locations, and business expenses.
2. Qualifications and licences
You represent and warrant that, in every country and jurisdiction in which you deliver sessions:
- you hold all qualifications, licences, registrations, and certifications required by law and by industry standard to deliver the services you list;
- you are solely responsible for arranging any professional, public liability, or other insurance you consider appropriate for your services - Kynetiq does not require, verify, or provide insurance on your behalf;
- you have any necessary right to work and earn income;
- you comply with all applicable health, safety, safeguarding, equality, and anti-discrimination laws;
- you have any permits or consents required for the locations in which you deliver sessions (parks, public spaces, gyms, residential venues).
You agree to update Kynetiq promptly if any of these representations cease to be true.
3. Identity and qualification verification
You agree to complete any identity, age, address, or qualification check that Kynetiq reasonably requests. You consent to Kynetiq, or a verification provider acting on its behalf, verifying information you provide against public registers and qualification bodies. Where you provide identity or qualification documents, you confirm they are genuine, current, and yours. Submitting forged, altered, expired, or misleading documents is grounds for immediate termination and may be reported to law enforcement and any relevant qualification body.
4. Tax
You are solely responsible for declaring and paying any income tax, social security, VAT, sales tax, or other tax on income you receive through the Platform. Kynetiq does not withhold taxes on your behalf. Kynetiq may report fees paid to you to tax authorities where required by law (for example, under the OECD model rules for digital platforms or the UK DAC7 / equivalent regimes).
5. Stripe Connect, fees, and payouts
Payments are processed and paid out via Stripe Connect. By accepting this Agreement you also agree to the Stripe Connected Account Agreement.
- Kynetiq's platform fee is 15% of the gross session price for each completed booking.
- Stripe processing fees are deducted in accordance with your Stripe Connect account terms.
- Payouts are made on Stripe's standard schedule for your country, subject to verification holds, fraud review, and any reserve Stripe imposes.
- You must keep your Stripe Connect account in good standing, complete any verification Stripe requires, and respond to information requests promptly.
- Where the Platform settles in a currency other than your payout currency, prevailing exchange rates and processor fees apply.
6. Chargebacks, refunds, and payout reversals
Chargebacks, fraud claims, and refunds are inherent risks of operating on a payment-card marketplace. You agree that Kynetiq may, without prior notice:
- withhold, freeze, or delay payouts pending investigation of a chargeback, dispute, fraud signal, or suspected breach of this Agreement or any Platform Policy;
- reverse, claw back, or set off against future payouts any amounts already paid in respect of a disputed, charged-back, fraudulent, refunded, or non-delivered booking;
- debit your Stripe Connect balance or invoice you directly to recover the gross amount of the disputed transaction, any chargeback fees, processor penalties, and reasonable investigation costs;
- require you to participate in any chargeback defence and to provide supporting evidence within the timeframe set by the payment processor; and
- maintain or require a payout reserve where chargeback or refund history warrants it.
If recovery from your Stripe balance is not possible, the unpaid amount becomes a debt immediately payable by you to Kynetiq.
7. No off-platform circumvention
For any Client introduced to you through Kynetiq, you must not, for at least 12 months from the introduction, directly or indirectly:
- solicit, encourage, or accept booking or payment for any coaching service outside the Platform;
- exchange personal contact details for the purpose of bypassing platform fees;
- invite the Client to a competing platform or to your own booking system;
- provide a discount or incentive conditional on payment outside the Platform.
Kynetiq reserves the right, at its sole discretion, to immediately suspend or permanently terminate any Coach account suspected of circumvention; to recover the platform fees that would have been due on circumvented bookings (including a reasonable estimate where exact figures are unavailable, payable as liquidated damages); to withhold pending payouts where lawful; and to investigate, including by contacting the Clients involved.
8. Conduct, safeguarding, and safety
You agree to follow the Acceptable Use Policyand the Safety & Health Disclaimer. You will:
- treat all Clients with respect and without discrimination;
- maintain professional boundaries - no sexual, romantic, or exploitative conduct with Clients introduced through the Platform, and no contact outside the professional scope of the booking;
- never coach while impaired by alcohol or drugs;
- screen Clients for contraindications, scale sessions to ability, and stop a session immediately at any sign of distress, injury, or unsafe conditions;
- not coach minors or vulnerable adults unless and until the Platform expressly enables this and you meet the additional qualification and safeguarding requirements that will apply at that time;
- report any injury, near-miss, complaint, or safeguarding concern to Kynetiq within 48 hours;
- not give medical, physiotherapy, psychological, or pharmaceutical advice, and not prescribe, supply, or recommend prescription medication, controlled substances, or performance-enhancing drugs.
9. Session standards
You agree, for every booking, to:
- show up on time, prepared, and in suitable condition to coach;
- deliver the service substantively as described in your listing;
- provide an appropriate warm-up, progression, and cool-down;
- hold a current first-aid qualification appropriate to the activity;
- communicate clearly with the Client in advance about location, equipment, dress, and any preparation required;
- keep accurate records of sessions, incidents, and Client disclosures for a reasonable period.
10. Accurate listings and reviews
Profile information, qualifications, prices, locations, photos, videos, and session descriptions must be accurate, current, and your own (or lawfully licensed). Misleading listings, fake reviews, paid reviews, reviews from related parties, and review manipulation are prohibited and may result in immediate removal and termination.
11. Cancellations by Coaches
If you cancel a confirmed booking, the Client receives a 100% refund and the booking is recorded against your reliability metric regardless of the cancellation policy on the underlying service. Repeated Coach-initiated cancellations may result in reduced visibility, account suspension, or termination.
12. Suspension and termination
Kynetiq may suspend or terminate your Coach account immediately, with or without notice, for: breach of this Agreement or any Platform Policy; safeguarding concerns; fraud, chargeback abuse, or attempted circumvention; reasonable suspicion of unlawful conduct; failure to complete a verification request; lapsed or missing qualifications; or repeated negative Client experiences. You may close your Coach account at any time from Coach Settings; bookings already accepted must be completed or properly cancelled first. Sections that by their nature should survive termination (including tax, chargeback recovery, indemnity, IP licence, non-circumvention, and liability provisions) will survive.
13. Intellectual property and media
You retain ownership of the content you upload (photos, videos, bios, session descriptions, and other materials). You grant Kynetiq a worldwide, perpetual, irrevocable (for content while displayed on the Platform), royalty-free, sublicensable licence to host, display, reproduce, adapt, translate, and promote that content to operate and market the Platform - including in marketing, social media, app store listings, and press materials. You confirm that you own or have all necessary rights and consents (including from any identifiable individual or trademark owner) to grant this licence, and that your content does not infringe any third-party rights.
14. Liability and indemnity
You acknowledge that Kynetiq is a marketplace and is not responsible for the services you deliver. You agree to indemnify, defend, and hold Kynetiq harmless against any third-party claim, demand, loss, or expense (including reasonable legal fees and any chargeback or refund Kynetiq has had to honour) arising from the services you provide, your breach of this Agreement, any Platform Policy, or applicable law, subject to the limits set out in the Terms of Service.
15. Compliance with local law
You are solely responsible for complying with all laws that apply to you, the activities you teach, the locations you use, and the people you serve - including consumer protection, health and safety, safeguarding, employment, equality, data protection, advertising, and tax law in every jurisdiction in which you operate.
16. Changes
We may update this Agreement from time to time. Material changes will be notified at least 14 days before they take effect. Continued use of the Platform as a Coach after that date constitutes acceptance.
